The Seychelles (ISO SC) is an island republic of 115 islands in the Indian Ocean, a former British colony independent since 1976, with a mixed legal system of English common law and French civil law. International Business Company (IBC) – Seychelles IBC

The Seychelles IBC (International Business Company Act, cap. 304) is the primary vehicle for offshore company formation Seychelles. Characteristics:

Corporate Income Tax

Seychelles offshore companies (IBC) enjoy total exemption (0%) on:

  • EU residents (ATAD 1 & 2): CFC regime applicable if the IBC realizes >1/3 passive income (dividends, interest, royalties, capital gains) and effective ETR <50% of the Member State's ETR. DAC6 imposes disclosure of hallmarks (offshore structure without substance, non-transparent beneficial ownership).
  • OECD BEPS Action 5: the Seychelles has committed to introducing substance requirements for IP, holding, treasury since 2021 (Income Tax (Substance Requirements) Regulations 2021). Dal 1° gennaio 2019 le Seychelles applicano i requisiti di Economic Substance conformi agli standard OCSE/BEPS Action 5, recepiti nell'International Business Companies (Amendment) Act 2020 e nelle Economic Substance Regulations 2020. Activities requiring regulated licensing: payment services, crypto exchange, securities brokerage, insurance. The FSA does not issue operating licences to standard IBCs; Special Licence Companies (SLC) require minimum capital of USD 100,000, annual audit, qualified local directors.

Partnerships with financial institutions or corporate clients: banks, VC funds, listed multinationals and B2B SaaS platforms systematically refuse contracts with Seychellois counterparties due to internal anti-money laundering policies. The KYC rejection rate exceeds 70%.

Need for credit access or institutional investment: impossible to obtain bank financing, venture debt, or participate in Series A/B rounds with a Seychelles vehicle. No significant legislative measures have emerged published in the first quarter of 2026 specific to Seychelles IBCs. The jurisdiction completed in 2024 the reforms required by the OECD to exit the FATF grey list (achieved in October 2024) and maintains the rating "Largely Compliant" in the Global Forum on Transparency and Exchange of Information for Tax Purposes.

However, three areas of external regulatory pressure remain:

1. EU listing update: the European Commission reviews the list of non-cooperative jurisdictions (Annex I) semi-annually. The Seychelles, while not currently listed, are under monitoring for economic substance standards. The absence of minimum physical presence requirements for IBCs could lead to EU grey-listing in 2027, with consequent application of 20-30% withholding taxes on dividends, interest and royalties to EU beneficiaries.

2. OECD Pillar Two (GloBE): for multinational groups with consolidated turnover exceeding EUR 750 million, Seychellois IBCs without substantial economic activity will be subject to top-up tax in the parent company's jurisdiction. The impact is limited for SMEs and mid-cap companies.

3. Beneficial Ownership Registries: from January 2025 the UBO register is accessible to foreign competent authorities via automatic exchange of information (AEOI). The FSA has confirmed implementation of CRS since 2017 with annual reporting in September. Ultimate beneficial owners with tax residence in CRS participating countries (120+ jurisdictions) are automatically reported.

For UK clients, the introduction of the new UK CFC Gateway Rules (Finance Act 2025) has tightened the exemption test: undistributed profits of IBCs controlled by UK tax residents are now taxable unless proof of "genuine economic activity" locally verified by HMRC.
